DFC has a loan outstanding to Apollo Towers Myanmar ("Apollo"), the proceeds of which were used to construct and operate passive telecommunications tower infrastructure in Myanmar. On February 1, 2021, there was a military coup in Myanmar, which resulted in the United States imposing a new sanctions regime on February 11, 2021. DFC needs to assess the implications of the new sanctions regime (and any future changes or updates to the sanctions regime) on Apollo, its business, and the DFC loan. DFC requires the services of Freshfields Bruckhaus Deringer US LLP ("Freshfields") to assist with reviewing the new Myanmar sanctions regime and advising DFC on its implications for the Project. DFC has selected Freshfields, because Freshfields has acted as DFC's counsel on the Project since origination, and it is very familiar with the counterparties involved, the transaction documents, and the structure of the Project. Freshfields also has the necessary technical sanctions expertise to assist with this work.
