Service and Maintenance is included in this Contract. The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn, is responsible to the Government. Contractor agrees to the following terms of the contract, however, as requirements change facilities within VISN 15 may be added or deleted by supplemental agreement of the Government and the Contractor. Description of Services/Introduction: The Contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to fulfill the AudioCare Contract as defined in this Statement of Work except for those items specified as Government furnished property and services. The Contractor shall perform to the standards in this contract. This contract will provide the site with the ability to send medication refill reminders via text and phone with the ability to process refill/renewals via their existing AudioCARE system. The Contractor must have the capabilities, authorization, and remote support necessary to keep the equipment safe and operational. The Contractor shall provide certified personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform AudioCare service and maintenance as defined in this Statement of Work except for those items specified as government furnished property and services. The contractor shall perform to the standards in this contract. The contractor shall comply with Federal, State, local laws and regulations applicable to the performance of this contract. Background: This AudioCare Contract is a requirement of the medical center. AudioCare was the awarded vendor for the AudioPREFILL, TM PREFILL software modules that will provide additional features to the prerequisite software AudioRENEWAL and AudioREFILL which are installed on the sites existing AudioCARE System. Objectives: AudioCare shall provide services, which include maintenance on all AudioCare hardware and software, upgrades as needed from manufacturer, remote network support for patching operating system, unlimited telephone support during AudioCare s standard business hours (8:00 AM to 5:00 PM EST), and all licenses necessary for the current AudioCare hardware and software to perform as intended by the manufacturer. Scope: AudioCare will provide all maintenance and service in order to keep hardware and software in working condition, unlimited telephone support, remote service support, and all licenses and upgrades necessary for equipment to function as intended by the manufacturer. General Information Hours of Operation: The Contractor is responsible for providing services during AudioCare s standard business hours (8:00 AM to 5:00 PM EST) except when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. The Contractor must at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this SOW when the Government facility is not closed for the above reasons. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the workforce are essential. 1.5.2 Place of Performance: The work to be performed under this contract will be performed remotely throughout the VISN 15 facilities. 1.5.3 Physical Security: The Contractor shall be responsible for safeguarding all Government equipment, information and property provided for Contractor use. At the close of each work period, Government facilities, equipment, and materials shall be secured. 1.5.4. Special Qualifications: The Contractor is responsible for ensuring all employees possess and maintain current certifications and training on all equipment listed in this SOW. 1.5.5 Identification of Contractor Employees: All contract personnel attending meetings, answering Government telephones, and working in other situations where their Contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials. They must also ensure that all documents or reports produced by Contractors are suitably marked as Contractor products or that Contractor participation is appropriately disclosed DEFINITIONS AND ACRONYMS: Definitions 2.1.1. CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the Government. The term used in this contract refers to the prime. 2.1.2. CONTRACTING OFFICER. A person with authority to enter, administer, and or terminate contracts, and make related determinations and findings on behalf of the Government. Note: The only individual who can legally bind the Government. 2.1.3. CONTRACTING OFFICER'S REPRESENTATIVE (COR). An employee of the U.S. Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract. 2.1.4. DEFECTIVE SERVICE. A service output that does not meet the standard of performance associated with the Statement of Work. 2.1.5. DELIVERABLE. Anything that can be physically delivered but may include non-manufactured things such as meeting minutes or reports. 2.1.6. PHYSICAL SECURITY. Actions that prevent the loss or damage of Government property. 2.1.7. QUALITY CONTROL. All necessary measures taken by the Contractor to assure that the quality of an end product or service shall meet contract requirements. 2.1.8. WORKDAY. The number of hours per day the Contractor provides services in accordance with the contract. 2.1.9. WORK WEEK. Monday through Friday, unless specified otherwise. 2.2. Services: The Government will not provide any equipment, supplies, or services required to perform the services required in this SOW. CONTRACTOR FURNISHED ITEMS AND RESPONSIBILITIES: 4.1 General: The Contractor shall furnish all supplies, equipment, facilities, and services required to perform work under this contract. 4.2. Materials: The Contractor shall provide supplies, equipment, and upgrade needs required to perform work under this contract. SPECIFIC TASKS: Basic Services. The Contractor shall provide software license, service and maintenance for the products listed below. Product Audio PREFILL TM PREFILL ACS-TM-Base The License and Support Term is 12 months. These License and Support Services include: Provide Support necessary to keep the AudioCare products and manufacturer s side of any applicable interfaces performing in accordance with the material specifications of the user guide. If products cannot be made to properly perform through repair services, then contractor shall replace portions of the AudioCare equipment or restore the integral software as needed. Software updates as needed from manufacturer. Remote Support Services shall be provided during AudioCare s standard business hours (8:00 AM to 5:00 PM EST) through the manufacturer s technical support center. Unlimited telephone support On-site technical support by a certified technician when remote service and telephone support is not practical and direct access to equipment is necessary. Scheduling and deploying manufacturer approved software patches for products. Customer remote training on AudioCare hardware and software once per period of performance. Licenses necessary for the current AudioCare hardware and software to perform as intended by the manufacturer.
