SOLE SOURCE MEMORANDUM TO ACQUIRE SHARK MARINE NAVIGATOR MAINTENANCE KITS (ERP 1301001477) 1. Identification of the agency and the contracting activity, and specific identification of the document as a “Limited Source Justification.” This is a sole source justification. Contracting activity is the Naval Sea Systems Command, Naval Surface Warfare Center, Panama City Division (NSWC PCD), 110 Vernon Avenue, Panama City, FL 32407-7001 (Contracts Department Code 02). 2. Nature and/or description of the action being approved. This action will award a firm fixed price purchase order, on a sole source basis, to Shark Marine Technologies Incorporated, 23 Nihan Drive, ST. Catharines, ON L2N 1L2, to acquire an In-Service Maintenance Kit. 3. A description of the supplies or services required to meet the agency’s needs (including the estimated value). The contract effort is to acquire the following: Description Qty Delta Maintenance Kit (P/N: N-Delta 24M Kit) 6 Dive Tablet 24M Kit (P/N: N-Dive-Tablet-24M) 2 Shipping To Panama City 1 The estimated price is this procurement is $32,538. This memo does not authorize acquisition for other requirements. All repaired equipment will be delivered no later than thirty (30) days after receipt from the Government. The contract action will be funded with 2022 Operation and Maintenance, Navy (OMN) funds. 4. Identification of the justification rationale and, if applicable, a demonstration of the proposed contractor’s unique qualifications to provide the required supply or service. 10 U.S.C. 2304(c)(1), 10 U.S.C. 2304(d)(1)(B). Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements FAR 6.302-1(a)(2)(iii)(B). The Naval Surface Warfare Center Panama City Division (NSWC PCD) has an ongoing requirement to maintain the Shark Marine Navigator Delta Kits to repair and/or perform routine maintenance after normal operations. The Navigator is modular thus enabling it to be configured for any application. The modularity of the system also means that it will never become obsolete, as technology advances in certain areas these components can be replaced, rather than needing to replace the entire system. Shark Marine’s software controls all operations of the navigator and its accessories, operators need only learn one software to master all their equipment. Shark Marine is the original equipment manufacturer (OEM) of the Delta Kits. As the OEM, Shark Marine is the only company with the in-house resident knowledge that can provide a maintenance kit that can properly diagnose, update, or repair damaged equipment accurately. An alternate source may introduce new or change existing parameters that may be detrimental to the operation of the Navigator Delta Kits. Therefore, it is imperative that this procurement is awarded to Shark Marine for the maintenance kit immediately. 5. A determination by the ordering activity contracting officer that the order represents the best value consistent with FAR 13.106-1(b). The Contracting Officer has determined that the order represents the best value and results in the lowest overall cost alternative (considering price, special features, administrative costs, etc.) to meet the Government’s needs. 6. A description of the market research conducted among schedule holders and the results or a statement of the reason market research was not conducted. No additional market research was conducted because it is not practicable, for the reasons discussed in paragraph 5 above, for any company other than Shark Marine, the OEM, to provide the required repair services. Additionally, since this requirement is greater than $25,000, this requirement will be posted in SAM.gov. 7. Any other facts supporting the justification. None 8. Supporting documentation in Wide Area Workflow (WAWF) for invoices shall include summaries of work charged during the period covered as well as overall cumulative summaries by individual labor categories, rates, and hours (both straight time and overtime) invoiced; as well as, a cost breakdown of other direct costs (ODCs), materials, and travel, by technical instruction (TI), SLIN, or CLIN level. Deliveries will not be accepted on Saturdays, Sundays or Holidays except as specifically requested by the [insert activity name]. All goods or services attempted to be delivered on a Saturday, Sunday or Holiday without specific instructions from the Contracting Officer or his duly appointed representative will be returned to the contractor at the contractor’s expense with no cost or liability to the U.S. Government. (b) The federal Government observes public Holidays that have been established under 5 U.S.C. 6103. (c) Delayed Opening, Early Dismissal and Closure of Government Facilities. When a Government facility has a delayed opening, is closed or Federal employees are dismissed early (due to severe weather, security threat, security exercise, or a facility related problem) that prevents personnel from working, onsite contractor personnel regularly assigned to work at that facility shall follow the same reporting and/or departure directions given to Government personnel. The contractor shall not direct charge to the contract for such time off, but shall follow parent company policies regarding taking leave (administrative or other). Non-essential contractor personnel, who are not required to remain at or report to the facility, shall follow their parent company policy regarding whether they should go/stay home or report to another company facility. Subsequent to an early dismissal, delayed opening, or during periods of inclement weather, onsite contractors should monitor the OPM website as well as radio and television announcements before departing for work to determine if the facility is closed or operating on a delayed arrival basis. (d) When Federal employees are excused from work due to a holiday or a special event (that is unrelated to severe weather, a security threat, or a facility related problem), on site contractors shall continue working established work hours or take leave in accordance with parent company policy. Those contractor employees who take leave shall not direct charge the non-working hours to the contract. Contractors are responsible for predetermining and disclosing their charging practices for early dismissal, delayed openings, or closings in accordance with the FAR, applicable cost accounting standards, and the company’s established policy and procedures. Contractors shall follow their disclosed charging practices during the contract period of performance, and shall not follow any verbal directions to the contrary. The Contracting Officer will make the determination of cost allowability for time lost due to facility closure in accordance with FAR, applicable Cost Accounting Standards, and the Contractor's established accounting policy and procedures. These official files may contain information that is considered a trade secret, proprietary, business sensitive or otherwise protected pursuant to law or regulation, hereinafter referred to as “protected information”. File management services consist of any of the following: secretarial or clerical support; data entry; document reproduction, scanning, imaging, or destruction; operation, management, or maintenance of paper-based or electronic mail rooms, file rooms, or libraries; and supervision in connection with functions listed herein. (b) The cognizant Contracting Officer will ensure that any NAVSEA contract under which these file management services are acquired will contain a requirement that (1) The support contractor not disclose any information; (2) Individual employees are to be instructed by the support contractor regarding the sensitivity of the official contract files; (3) The support contractor performing these services be barred from providing any other supplies and/or services, or competing to do so, to NAVSEA for the period of performance of its contract and for an additional three years thereafter unless otherwise provided by law or regulation; and, (4) In addition to any other rights the offeror may have, it is a third party beneficiary who has the right of direct action against the support contractor, or any person to whom the support contractor has released or disclosed Protected Information, for the unauthorized duplication, release, or disclosure of such Protected Information. (c) Submission of a proposal will be considered as consent to NAVSEA's permitting access to any information, irrespective of restrictive markings or the nature of the information submitted, by its file management support contractor for the limited purpose of executing its file support contract responsibilities.
