1. Acceptance of Terms
By accessing or using SAMClerk.com ("the Site," "the Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service constitutes acceptance of the modified Terms.
2. Service Description
SAMClerk.com provides a notification and monitoring service that aggregates publicly available information from SAM.gov and other official government sources regarding federal contracting opportunities. Our Service includes:
- Daily email and/or SMS alerts of new and updated opportunities based on your selected NAICS codes and keywords
- A web-based dashboard to manage preferences, view opportunity summaries, and save favorites
- Direct links to official SAM.gov listings for full solicitation details
Important: SAMClerk.com is an independent third-party service and is not affiliated with, endorsed by, or sponsored by the U.S. General Services Administration (GSA) or SAM.gov. The Service is a tool to assist in opportunity discovery, but all official bid submissions, compliance, and contract administration must be conducted through SAM.gov.
3. User Account and Registration
To use the Service, you must:
- Be at least 18 years old
- Provide accurate, complete registration information
- Maintain the security of your password and account
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
4. Subscription and Payment
- The Service is offered on an annual subscription basis
- Payment is processed securely through Stripe, our third-party payment processor
- All fees are non-refundable except as expressly stated in these Terms
- We reserve the right to change subscription fees with 30 days' notice to current subscribers
5. Acceptable Use and Prohibited Activities
You agree NOT to:
- Use automated systems, bots, scrapers, crawlers, or any other automated means to access, monitor, or copy any portion of the Site or its content, except as expressly permitted by us
- Attempt to circumvent, disable, or interfere with the security or functionality of the Site
- Reverse engineer, decompile, or disassemble any portion of the Service
- Use the Service for any illegal purpose or in violation of any laws or regulations
- Misrepresent your identity or affiliation
- Share your account credentials or allow unauthorized access to your account
- Use a single account for multiple users or engage in concurrent logins; each account and login is intended for one individual user only, and sharing access in any manner is prohibited. Violations may result in immediate termination of your account and access to the Service without refund.
- Use the Service to generate excessive traffic that could impair its functionality for other users
- Violate or attempt to violate our systems or network security
Violation of these prohibited activities, including the use of bots or scraping tools against our Service, will result in immediate account termination without refund.
6. Service Limitations and Disclaimers
6.1 Data Accuracy and Completeness
While we strive to provide accurate and timely information, we do not guarantee:
- The completeness, accuracy, or timeliness of opportunity information
- That you will receive notifications for all relevant opportunities
- That all opportunities matching your criteria will be available or suitable for your business
6.2 Service Delays and Interruptions
Important Notice Regarding SAM.gov Dependencies: Our Service relies on the availability and proper functioning of SAM.gov and related government systems. You acknowledge and agree that:
- Service delays or interruptions may occur due to SAM.gov system outages, maintenance, or downtime
- We are not responsible for alerts missed due to SAM.gov system unavailability
- We do not guarantee continuous, uninterrupted, or error-free operation of our Service
- Scheduled maintenance may temporarily affect Service availability
6.3 No Professional Advice
The information provided through our Service is for informational purposes only and does not constitute legal, contracting, or professional advice. You should consult with qualified professionals before making business decisions based on information obtained through our Service.
7. Intellectual Property
All content, features, and functionality of the Service, including but not limited to text, graphics, logos, and software, are owned by us or our licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
8. Termination
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
Specifically, accounts found to be using bots, scrapers, or automated systems to access our Service in violation of Section 5 will be terminated immediately without refund.
9. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from delays or interruptions in Service, including those caused by SAM.gov system unavailability
- The accuracy, completeness, or usefulness of any information provided
- Your reliance on the Service for business decisions
Our total liability to you for any claim arising from or relating to these Terms or the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless SAMClerk.com, its owners, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you submit or transmit through the Service
11. Dispute Resolution
Any dispute arising from these Terms or your use of the Service shall be governed by the laws of New Jersey, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Hudson County, New Jersey for resolution of any such dispute.
12. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect
- No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights
- Assignment: We may assign our rights under these Terms without your consent
